Wedding Professionals participate as independent contractors. Nothing contained in this Agreement creates or shall be construed to create an employment relationship, agency, partnership, joint venture, franchise, or fiduciary relationship between Wedding Paparazzi and any Wedding Professional. Wedding Professionals are solely responsible for operating their own businesses and for all taxes, insurance, licenses, permits, and business expenses.

5. Non-Exclusive Appointment

Participation in the Program is non-exclusive. Wedding Paparazzi may:

  • appoint additional Wedding Professionals;
  • market directly to customers;
  • advertise through any sales channel;
  • establish additional marketing programs; and
  • modify or discontinue the Program at any time.

Participation does not create an exclusive territory or exclusive customer relationship.

  • comply with all applicable laws;
  • protect customer privacy;

  • negotiate pricing;
  • modify subscription plans;
  • issue refunds or credits;
  • bind Wedding Paparazzi to any agreement;
  • create legal obligations on behalf of Wedding Paparazzi;
  • promise future features or functionality; or
  • represent themselves as employees or authorized agents of Wedding Paparazzi.

Any unauthorized representation shall be the sole responsibility of the Wedding Professional making it.

8. Customer Ownership

Customers who purchase Wedding Paparazzi services remain customers of Wedding Paparazzi. Participation in this Program does not grant ownership of:

  • customer accounts;
  • customer information;
  • event galleries;
  • subscriptions;
  • payment information;
  • platform data; or
  • future customer communications.

Wedding Paparazzi retains sole authority over customer support, pricing, billing, platform administration, and customer relationships.

The Customer remains solely responsible for all event information, privacy settings, payment information, Stripe account configuration, guest access, and compliance with the Wedding Paparazzi Terms of Service. Wedding Paparazzi shall not be responsible for errors resulting from information supplied by either the Customer or the Wedding Professional.

10. Marketing Standards

Wedding Professionals may use only Wedding Paparazzi-approved trademarks, logos, marketing materials, screenshots, and promotional content. Wedding Professionals may not:

  • make false or misleading statements;
  • misrepresent Wedding Paparazzi's products or services;
  • alter branding in a misleading manner;
  • engage in deceptive advertising;
  • distribute spam or unsolicited marketing communications;
  • purchase fake reviews; or
  • engage in conduct that damages the reputation of Wedding Paparazzi.

11. Commissions

Wedding Professionals may earn commissions on Qualifying Sales. Wedding Paparazzi shall pay commissions at the prevailing commission rate in effect at the time the Qualifying Sale is completed and accepted by Wedding Paparazzi. As of the Effective Date of this Agreement, the prevailing commission rate is fifty percent (50%) of the qualifying purchase price. Wedding Paparazzi reserves the right, in its sole discretion, to modify the prevailing commission rate, commission structure, eligible products or services, qualification requirements, payment schedule, or any other aspect of the compensation program. Any such changes shall apply prospectively and become effective upon publication of an updated Agreement, commission schedule, or other written notice issued by Wedding Paparazzi. Wedding Paparazzi's transaction records shall be final and controlling in determining commission eligibility, commission amounts, and payment.

Attribution of Qualifying Sales. A Qualifying Sale is attributed to a single Wedding Professional based on the most recent referral code, QR code, or partner link applied by the Customer prior to the creation of the Customer's event. The most recently applied referral source shall control over any earlier source, regardless of which Wedding Professional first introduced the Customer to Wedding Paparazzi, the amount of time elapsed since any earlier introduction, or whether the earlier introduction resulted in a purchase. Attribution is fixed at the moment the Customer's event is created and is not affected by referral sources applied, scanned, or clicked after that time. Self-referrals, in which the Wedding Professional and the Customer are the same person or account, are not eligible for commission. Wedding Paparazzi's transaction and referral records shall be final and controlling in determining attribution, commission eligibility, and payment.

12. Commission Reversals

Wedding Paparazzi may reverse previously earned commissions resulting from:

  • refunds;
  • chargebacks;
  • fraudulent purchases;
  • duplicate accounts;
  • self-referrals;
  • abuse of promotional programs;
  • violations of this Agreement; or
  • transactions later determined to be ineligible.

13. Taxes

Wedding Professionals are solely responsible for reporting and paying all taxes arising from commissions earned through the Program. Wedding Paparazzi may require completed tax documentation before issuing commission payments.

14. Confidentiality

Wedding Professionals may receive confidential information, including:

  • commission structures;
  • pricing;
  • marketing strategies;
  • customer information;
  • business plans;
  • future product features; and
  • training materials.

Such information shall remain confidential and shall not be disclosed without Wedding Paparazzi's prior written consent.

15. Intellectual Property

All Wedding Paparazzi trademarks, logos, software, graphics, overlays, templates, marketing materials, training resources, and proprietary technology remain the exclusive property of Wedding Paparazzi. Participation in the Program grants only a limited, revocable, non-transferable license to use approved materials solely for promoting Wedding Paparazzi while participating in the Program.

16. Professional Standards

Wedding Professionals agree to conduct themselves honestly, ethically, and professionally. Wedding Professionals shall avoid conduct that could reasonably damage the reputation of Wedding Paparazzi or diminish customer confidence in the platform.

17. Suspension and Termination

Wedding Paparazzi may suspend or terminate participation in the Program immediately if a Wedding Professional:

  • violates this Agreement;
  • violates the Wedding Paparazzi Terms of Service;
  • engages in fraud or deceptive practices;
  • misrepresents Wedding Paparazzi;
  • violates applicable law; or
  • otherwise creates unreasonable risk to Wedding Paparazzi or its customers.

Termination may include forfeiture of unpaid commissions associated with fraudulent or improper conduct.

18. Limitation of Liability

To the fullest extent permitted by law, Wedding Paparazzi shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in the Program. Wedding Paparazzi's maximum liability shall not exceed the commissions paid to the Wedding Professional during the twelve (12) months immediately preceding the event giving rise to the claim.

19. Indemnification

Wedding Professionals agree to defend, indemnify, and hold harmless Wedding Paparazzi, its owners, employees, contractors, affiliates, and representatives from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • negligent acts or omissions; or
  • infringement of third-party rights.

This includes, but is not limited to, changes to commission rates, commission structures, incentive programs, eligibility requirements, qualifying products or services, payment schedules, marketing standards, and participation requirements.

Updated terms shall become effective upon publication or other written notice from Wedding Paparazzi. Continued participation in the Program following the effective date of such changes constitutes acceptance of the revised terms.
